TERMS OF SERVICE & PRIVACY POLICY

This Usage License sets out the legal relationship between you (the “User”) and Peers.MD Ltd. (“Peers.MD”) The use of the Peers.MD services available on an Internet based platform addressed at: http://www.peers.md (hereinafter, respectively, the “Service”).

From the time of commencing the use of the Service, User will be subject to the usage terms and conditions set out hereunder (the “User Terms” or the “License Terms”). If you do not agree to any of the User Terms, you should refrain from making any use of the Service.

Peers.MD is entitled to change the License terms at any time and without giving prior notice, and any such change will be binding from the moment the change is announced.

 

The License

Subject to the License Terms, User is hereby granted a limited, non-exclusive, temporary and non-transferable license solely for their personal use of the Service. Use of the Service, in whole or in part, is for personal use only. Any other action or use – including, inter alia, commercial use, distribution, copying, changing, leasing, reverse engineering, producing derivatives or translations – is totally forbidden. In the event of any doubt regarding the legality of use, User may contact Peers.MD at contact@peers.md.

The Service incorporates extensive databases that have been independently and exclusively assembled and arranged by Peers.MD personnel, and which constitute its total and exclusive intellectual property. In addition, the Service makes use of third-party data and rights, of which no use must be made without the prior written authorization of the appropriate third party.

Furthermore, using the Service is at the User’s sole discretion and use of the Service shall not impose any liability on Peers.MD with respect to any damage and/or loss caused to the User including fatal injury.

 

It must be emphasized that any advice provided to a user (physician) by another (other physician) on Peers.MD network will be under the User’s sole responsibility.

 

It must be emphasized that despite the efforts and attempts that are made to provide the most up to date information, given the technical and/or financial constraints, the information contained in the Service could be inaccurate or not up to date, and Peers.MD is not liable for any damages that may be caused to a User and/or to his patient as a result of using information, which – as stated – is provided by a third party.

Peers.MD is not liable for changes in and/or the accuracy of, data and/or services whether provided by third parties or created for Peers.MD.

 

Service Content

The information on the Service is provided "As-Is "and cannot be arranged or adjusted for any separate usage.

The Service may contain content posted by content providers, Users and/or by other third parties. It is hereby clarified that Peers.MD shall have no liability toward the User and/or any other third party, regarding the use of information and/or data that is posted and/or submitted by the Service's user or by third party.

It is in the sole and absolute discretion of Peers.MD to decide on the manner and way of presenting the content based, among other things, on its accuracy, quality, and relevance. In addition, Peers.MD is not liable for those providing and publishing medical information Peers.MD will do its utmost to ensure that references to information and/or to Users, and their descriptions, are as accurate as possible.

Peers.MD will not be liable for any direct or indirect damage, body damage, financial or otherwise, which is caused to a User or to a third party as a result of using and/or relying on the information that appears on the Service.

 

Intellectual Property

All copyrights and intellectual property rights in Peers.MD Service and in the information contained therein, including – inter alia – in its content (excluding content posted and/or provided and/or submitted by third parties and/or other users), in source code, in the look & feel, design and in editing, as well in all updates, changes and amendments whatsoever, are owned exclusively by Peers.MD and are protected by copyrights and under international treaties regarding copyrights.

 

Declarations and undertakings by Users

Peers.MD has created Peers.MD Service, inter alia, for the purpose of enabling secure and insightful professional consultations.

To ensure that discussion is civilized and relevant, and in order to prevent Users from abusing the opportunities that are provided to express themselves on Peers.MD, the service is entitled to check such content before it is published. These checks will be made among other things for the purpose of trying to prevent comments that are abusive, threatening, or vulgar, as well as content that is prima facie illegal, and will be made without Peers.MD or anyone on its behalf needing to exercise discretion, legal or otherwise. For the removing of any doubt, nothing contained in here, shall derogate from Peers.MD's right to check and/or to analyse all the content of the User, for any other purposes, at Peers.MD's sole and absolute discretion.

Without derogating from any of the other provisions of the License Terms, when sending or posting and/or submitting content for publication through the Service, Users will be liable for the outcome of the publications or the use of the provided information/advice as applicable by law.

 

Peers.MD may refuse to publish or to immediately delete any content that is sent for publication at any time it considers that the content is in breach of these User Terms or that an act or omission has been performed which harms or is likely to harm the Service provided by Peers.MD, those using the Service, Peers.MD or anyone on its behalf. In addition, Peers.MD will be permitted in such an event, to block a user from publishing additional content through the Service. The provisions of this section are in addition to Peers.MD’s rights under any law.

If Peers.MD decides to publish content that a user has provided – it may edit any such content at its absolute discretion including deciding to abridge the content.

Peers.MD encourages users to carefully and critically assess and consider content that is published on the Internet, including content that is published from Users of the Service, and by the Service.

The content is not published by Peers.MD and therefore Peers.MD is not responsible for its reliability, its veracity, its accuracy, or its completeness and Peers.MD has no liability for any consequence arising from its usage thereon.

The User undertakes to indemnify Peers.MD for any consequence and/or damage to the extent there is such, due to a claim and/or demand made against it by a third party pursuant to a breach of any of the provisions stated in the License Terms, and/or of any other right belonging to any third party whatsoever.

Without derogating from the aforesaid, Peers.MD may cancel User's use of the Service, or block the User's access to it (by blocking his IP address), it is in Peers.MD's sole and absolute discretion, inter alia, to do so in any one of the following circumstances: (1) User posts Content that seems to be provocative, irritating, improper, unlawful or unethical;(2) User breach these Users Terms.

 

Remarketing

When a User of the Service enters or visits the Service and/or makes use of the Service, it is possible that certain information will be transferred onto the computer or another electronic device which the User is using and/or that the User's IP will be marked and recognized.

Third-party vendors use cookies to serve ads based on user past visits to the Service. Any data collected, will be used in accordance with the terms of service and privacy policy pf Peers.MD or third- party vendors, as applicable.

 

Downloads

In the event that it is possible to download software, tools, information, browser extension, files and more through the Service, the downloading will be done solely at the responsibility of the User, and Peers.MD will not be liable for any damage caused to the User’s hardware and/or software and to the information contained therein as a result of such downloading and/or the use thereof.

 

Liability and Indemnification

Peers.MD is not responsible and does not guarantee that an unauthorized entity will not gain access to information which is sent by a User and/or acquire this information. All Users accept full responsibility and risk arising from the use of the Service.

 

Neither Peers.MD nor anyone on its behalf, including its employees, its management and/or its information suppliers, are liable in any way, explicitly or implicitly, for information of the Service and/or for information that is received via third parties, for its suitability for the User’s purposes, for its reliability and/or its accuracy and/or for its usability and/or for the use made of the information and/or the Service content.

 

Peers.MD gives no undertakings to Users of the availability and/or correctness of the Service and/or for the accessibility of the information on the Service at any time or in any location and Peers.MD does not undertake that at the time use there will be no interruptions or failures in receiving data from the Service whether due to Peers.MD or whether due to other factors, including failures and/or interruptions of the Internet network and of the wireless transfer of data.

 

Peers.MD is not responsible for any cost and/or advertising campaign on the Service for any business or service whatsoever. Responsibility for sending data rests with the business. Peers.MD hereby advises that unintentional or transposing errors may occur in the information located in the Service and neither Peers.MD nor the businesses advertising on the Service will have any liability in respect of the occurrence of errors, for any reason whatsoever.

 

Peers.MD encourages the User to refer carefully and critically to content that is published on the Service. To the extent that the information relates to professional information, such information should be treated with caution and care, and User should bear in mind that such information is not a substitute for consulting with appropriate professionals.

The User undertakes to indemnify Peers.MD, its employees, its management and anyone on its behalf for any damage and/or loss and/or expense caused to it, including lawyer’s fees and legal costs, pursuant to a breach of the License Terms.

 

Advice or contacts exchanged on the Peers.MD network between users will not be held as medical advices or treatment and will not create any obligating relationship between users or patients referred by users unless binding contract was directly signed between the parties outside of the Peers.MD network. To remove any doubt Peers.MD Will not be a party to any such contract and will not be responsible for any of its terms.

 

The Service requires registration

The use of the Service (or any part thereof) is at Peers.MD's discretion, subject to registration. Therefore, the user may enjoy and make use of the Service only after completing the registration process, providing the details required during the process and after consent to the online agreement that accompanies the Service, has been received.

Some of the Services that require registration involve payment of a subscription charge.

When registering for the Service, User will be asked for personal details, such as: First name, Surname, city and country of residence, details of your credit card (if the Service involves payment) and an active, personal institutional email address. User must only provide details that are correct, accurate and full. Erroneous details are likely to prevent User from using the Service and to prevent Peers.MD from contacting User, if required to do so. If User's details change, User should update them by contacting Peers.MD on-line at the Service.

 

The information that the user provides when registering for the Service will be kept in a data base owned by Peers.MD. There is no legal requirement to provide the information, but without providing it, User will not be able to use the Service for which User has registered. The service will not make use of your details, other than in accordance with the privacy policy for Peers.MD Services, which is to be found on this page and which constitutes an integral part of these User Terms.

 

Changes in the Service and the provision of the Service

Peers.MD may modify and/or update, add to or subtract from the Service and the information located therein. Peers.MD may remove and/or limit the use of the Service for a limited period or permanently at its exclusive discretion and without prior notice.

The Service’s content is provided through remotely based internet services coming from Peers.MD’s Service and/or third-party servers.

At its exclusive discretion, Peers.MD may discontinue these services at any time or restrict access to these services to paying subscribers only or in line with any other business model on which it decides.

 

If these User Terms are not acceptable to User for any reason whatsoever, User is requested to make no further use of it.

 

Law and Venue for Jurisdiction

The laws of the State of Israel will apply exclusively to these License Terms.

 

Any dispute on any matter relating to the License Terms will be decided by the authorized courts of Tel-Aviv Yafo, and they will have sole jurisdiction.

Privacy Policy

By registering to Peers.MD service, user agrees that Peers.MD can use, for its own services, preferences allocated by users. Such use may include collecting information on user’s interests, creating user profile, and offering services relevant to the user profile as determined by Peers.MD.   

Peers.MD will not transfer Users’ personal details and/or identification details to third parties except in the circumstances detailed hereunder:

o    It is required in the interests of the Service User (for example – appear within the in-app search feature).

o    Peers.MD has received the User’s prior written consent.

o    Peers.MD is required to do so by a judicial order.

o    In any dispute and/or demand and/or claim and/or legal proceeding, should there be any, between Peers.MD and the User.

o    In the event that the User is in breach of the User Terms and/or any legal provision.

o    In any circumstance in which Peers.MD is of the opinion that the information is required to prevent serious physical damage to the User or to a third party and/or to prevent serious harm to the property of the User and/or of a third party.

Peers.MD operates and uses data protection systems and practices which reduce the risks of unauthorized penetration of its Service. But for the sake of avoiding doubt, it is hereby clarified that Peers.MD cannot undertake that the Service is totally resistant to unauthorized access to the information stored within it.

By using the Service, User approves User may be located, based on User's Computer locations, and that such information regarding User's location may be kept on Peers.MD’s databases and can be used by Peers.MD in accordance with the License Terms and/or the law.

 

DMCA

If you find your copyrighted work on the Peers.MD service, you may send a takedown notice according to the provisions of Section 512(c) of the Digital Millennium Copyright Act ("DMCA"). Your notice should be sent to: contact@peers.md. the notice should include reference to the claimed infringing information, your full name and contact details as well as reference to where we can see your original work if it was published.

Your notice should include a statement that confirms you have good faith belief that use of the material in the manner described in your notice is not authorized by you – the copyright owner.

DMCA notices will be handled by the Peers.MD Service within 3 working days.

Peers.MD may forward your notice to the user who posted the information in claim for their reference.
